END USER LICENSE AGREEMENT

End User License Agreement

This End User License Agreement (“Agreement“) is entered into by and between Friends Color Images, Private Limited, a New Delhi, India corporation (“Licensor“) and the individual or entity licensing the software (“Licensee“). Whereas the parties to this Agreement have entered into a master service agreement (“MSA”) Whereas the parties to this Agreement have entered into a master service agreement. Whereas the capitalized words and expressions shall, unless repugnant to the context or meaning thereof, have the meaning hereinafter respectively assigned to them herein or in the MSA.
  1. LICENSE GRANT
    1. License.Subject to the terms and conditions of this Agreement, Licensor grants Licensee for the term agreed upon by the parties non-exclusive, non-transferable, revocable license to use the Software (“Software“) solely for Licensee’s internal business operations.
    2. Restrictions. Licensee shall not: (a) sublicense, sell, lease, or otherwise transfer the Software to any third party; (b) modify, adapt, or create derivative works of the Software; (c) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software; (d) use the Software in any unlawful manner.
    3. Scope of Use.The license granted herein is limited to the number of users or devices specified in Exhibit A. Any use beyond the specified scope requires the purchase of additional licenses.
  2. OWNERSHIP
    1. Intellectual Property. Licensor retains all rights, titles, and interest in and to the Software, including all copyrights, trademarks, and other intellectual property rights.
    2. Feedback. Licensee may, from time to time, provide suggestions, comments, or other feedback to Licensor regarding the Software (“Feedback“). Licensor shall have the right to use and incorporate Feedback into the Software without any obligation to Licensee.
  3. SUPPORT AND UPDATES
    1. Support. During the term of this Agreement, Licensor shall provide reasonable technical support to Licensee in accordance with Licensor’s standard support policies.
    2. Updates. Licensor may, in its sole discretion, provide updates, patches, or new versions of the Software (“Updates“) to Licensee. Licensee agrees to install and use such Updates to ensure the proper functioning of the Software.
  4. DISCLAIMER OF WARRANTIES
    1. As-Is. THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.
    2. No Guarantee of Performance. Licensor does not guarantee that the Software will be error-free or that it will meet Licensee’s specific requirements.
  5. LIMITATION OF LIABILITY
    1. Consequential Damages. IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT.
  6. MISCELLANEOUS
    1. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of India.
    2. Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, whether oral or written, with respect to the subject matter hereof.

ACCEPTANCE

By clicking “I Accept” or similar, Licensee agrees to be bound by this Agreement.
